1. Introduction

Welcome to Indian Motley (“Platform”). This document outlines the agreement and terms of use for Sellers (“You,” “Your”) on the Platform, which is owned and operated by [Insert Company Name]. By registering as a Seller or using the Platform, You agree to comply with the terms outlined herein.

2. Definitions

  • Platform: The eCommerce marketplace facilitating the sale of Indian handicrafts and heritage products.
  • Seller: Any individual or entity registered to sell products on the Platform.
  • Buyer: Any customer purchasing products through the Platform.
  • Services: Includes listing, promotion, logistics, and other features provided by Indian Motley.

3. Seller Eligibility

  • Sellers must be legally capable of entering into a binding contract under the Indian Contract Act, 1872.
  • Entities must have the necessary licenses, permits, and registrations to sell products, including GSTIN, PAN, and FSSAI (where applicable).
  • Sellers under the age of 18 are prohibited from registering.

4. Seller Registration Obligations

To register as a Seller, You must provide accurate and complete information, including but not limited to:

  • Business Name and Address
  • GSTIN and PAN
  • Bank Account Details
  • Product Categories and Associated Licenses
  • Contact Information

You are responsible for maintaining the confidentiality of Your account credentials.

5. Listing and Selling

Product Listings

  • All products must be accurately described and comply with Indian laws, including intellectual property and consumer protection laws.
  • Prohibited items include but are not limited to counterfeit products, illegal goods, and items infringing third-party rights.

Pricing

  • Sellers must display the total price, including all applicable taxes.
  • Prices must adhere to fair trade practices.

6. Platform as an Intermediary

Indian Motley provides a platform to facilitate transactions between Buyers and Sellers. The Platform:

  • Does not own or sell products directly.
  • Acts as an intermediary for payment collection and disbursement.
  • Is not responsible for the quality, warranty, or legality of products sold by Sellers.

7. Payments and Fees

Payment Processing

  • Indian Motley will process payments from Buyers on behalf of Sellers.
  • Payments to Sellers will be disbursed after deducting applicable commissions and charges.

Seller Fees

  • Indian Motley charges a commission on each sale. The commission structure will be outlined in the Seller dashboard.

8. Order Fulfillment and Logistics

  • Sellers are responsible for ensuring timely dispatch and delivery of products.
  • Indian Motley may offer logistics support through third-party providers. Associated costs will be deducted from Seller payouts.
  • Non-compliance with fulfillment timelines may result in penalties.

9. Returns and Refunds

Sellers must adhere to Indian Motley’s Return and Refund Policy, including:

  • Accepting returns for defective or damaged products.
  • Issuing refunds within specified timelines post-return inspection.

10. Intellectual Property

  • Sellers grant Indian Motley a non-exclusive, royalty-free license to use product images and descriptions for marketing and operational purposes.
  • Sellers must ensure their products do not infringe on third-party intellectual property rights.

11. Prohibited Activities

Sellers are prohibited from:

  • Listing counterfeit or illegal items.
  • Misusing Buyer information.
  • Manipulating reviews or ratings.
  • Engaging in fraudulent activities.

12. Seller Account Management

  • Sellers may deactivate accounts by providing a 90-day notice to ensure smooth settlement of pending transactions.
  • Indian Motley reserves the right to suspend or terminate accounts for breaches of these Terms.

13. Tax Compliance

  • Sellers are responsible for all tax liabilities, including GST and income tax.
  • Indian Motley will deduct applicable TDS as per the Income Tax Act, of 1961.

14. Dispute Resolution

  • Indian Motley will act as a facilitator for disputes between Buyers and Sellers.
  • Unresolved disputes may be escalated to arbitration under the Arbitration and Conciliation Act, of 1996.

15. Modifications

Indian Motley reserves the right to update these Terms periodically. Sellers will be notified of material changes via email or Platform announcements.
